I cut my teeth as a business lawyer in the International and Cross-Border Transactions practice at Holland & Knight LLP, advising major corporations and nonprofits on industry regulation and corporate governance issues, and participating in mergers and acquisitions and other deals.
Today, I bring that depth of experience to my work with small and mid-size businesses and entrepreneurs. I frequently advise clients on forming, structuring, and managing business entities, and help them structure relationships with partners, investors, clients, contractors and other stakeholders. My work in this area includes drafting and negotiating a range of business agreements, such as shareholder agreements, operating agreements, master service agreements and statements of work, nondisclosure agreements and others.
Intellectual Property: Copyright and Trademark
I provide an array of services designed to protect a client's portfolio of intellectual property assets.
In the copyright arena, I advise clients on licensing, infringement, fair use and work for hire issues, and prepare copyright registration applications as well as agreements that affect copyright issues.
I also advise clients on protecting their brands. As part of this work, I conduct trademark searches, prepare federal trademark registration applications with the United States Patent and Trademark Office, represent clients involved in trademark opposition proceedings, and counsel clients on how to maintain their trademark rights. I am also skilled at drafting agreements that protect clients' trademark interests.
